End User License Agreement
Thank you for trying our software !
This document explains the license agreement and price policy of Spinner Software, and is
divided into three sections:
1. General terms and conditions (guidelines)
2. Contacting Spinner Software
3. License agreement (legal version)
The guidelines are explained in the first section, but can quickly be summarized:
You can download a fully-functional version from www.spinner.nl, or the softwares official homepage,
free of charge. In 30 days, you must decide if you find the software good enough to continue
using it: if you do, you must register the software. If you decide against using it, you must
un-install all copies of the software. Tampering with the software (i.e. to escape paying the
small registration fee) is immoral and illegal, and hurts small software companies
such as ours.
We hope you will find the software useful, and register the software. We consider the prices
fair, and within range for both personal use and small companies. Please visit www.spinner.nl
for more information on our software products and corporate information.
For your information, our software does transmit information about you in any form to anyone.
It does not include any kind of ads, spyware, viruses or other malware.
1.0 General terms and conditions
The software can be downloaded free of charge from www.spinner.nl and the products
official homepage, and may be tested for a period of 30 days before a registration is required.
This allows you to fully test the functionality of the software, its interaction with other
software installed on your PC, and discover any unintended side effects or errors that may
occur.
Spinner Software (www.spinner.nl) can NOT guarantee a 100% error free product. Although we try,
there are too great a number of variations in PCs and software to test all possibilities,
and we can not be liable for any damages or errors that may occur - or be caused by - using
this software. This is the chance you take every time you install software on a PC, and we can
only stress the importance of keeping a good backup.
To register the software, you must use an Internet connection and go to the website
www.spinner.nl or the software's official homepage (see bottom of document).
The software is priced fairly low, and the price and availability is designed to
make it affordable and available to any Windows user with an Internet connection.
By registering the software you are not only legally entitled to use the software,
you also support our efforts to continue developing software that can improve the
use of computers for every-day people.
If you decide against registering - and hence purchasing - the software, you must un-install all
installed copies of the software, and after the trial period expires you are no longer entitled
to use the software. You may keep the original download file (the Install or Setup that
allows you to install the software, along with any additional files such as exported user
configurations and auto-generated import files from the official website) for later
re-examination or distribution to others.
You may re-distribute the setup files to others (provided it is done free-of-charge / at no
extra cost). We hope to make software that you would recommend to a friend, and therefore allow
everyone to download (and/or distribute the officially downloadable files) and test the
software for up to 30 days before purchasing it.
After you have registered the software you should receive your registration code
by email within a few minutes. This email is your official 'proof-of-purchase' from Spinner Software,
and it is sent to the email address you specified during registration. It contains your registration
code and the information you supplied.
Start the software product and select the Help menu. Click on the About menu, and enter the registration
code and your email address in the appropriate fields in the presented dialog box. Then click on
the OK button to complete the registration. Your purchase has now been registered, and the next
time you start the software your license details should be visible.
If you have registered but NOT received an email with your registration code within 2 business days,
please check our website for any announcements that might explain such a failure, or
contact us with the details of your registration. We will then email back to
you as soon as possible.
The registration code is your proof-of-purchase, and belongs to the person or company that
registered the software. Distributing this code to any other party is illegal. Any other party
can always download and/or test the software for 30 days free of charge, and you must therefore
never provide your own registration code and email address.
You are required to purchase licenses for the MINIMUM number of users or computers using the
software. Examples are provided here:
If you purchase a single-user license, you can use it for 1 PC or 1 person. For example:
If you are using 2 PCs but not at the same time (i.e. a stationary PC and a laptop), a
single-user license will suffice, as you are still 1 person.
If more than 1 user shares 1 PC, a single-user license will suffice as it is only 1 PC.
If you have 2 or more PCs with 1 or more users, you must purchase the corresponding number
of registrations (when calulating this, take the lowest number of users or PCs for which
you would like a license).
If your company has 10 employees but only 5 computers (using the software) you purchase 5
licenses. If your company has 100 PCs, but the software will only be used on 15 of the PCs
(by 15 users), you purchase 15 licenses.
Spinner Software does not refund licenses.
Spinner Software does not redistribute or sell our customer information, or excerpts from it,
to anyone. Any information provided to us is used solely within Spinner Software and required
parties (such as the bank that validated your credit card transaction). Spinner Software will
not - without prior consent from a customer - relay any information provided in secure forums
(such as during registrations).
Feedback from our users are a vital step in improving the software and the further development
of Spinner's projects targeting home and business users. And we give credit where credit's due:
users who provide bug-reports or ideas can specify an optional 'credit name'. Information given
in such forums - which are not necessarily secure - may be visible on Spinner's website, but
will not be redistributed to other parties without prior consent from the user. This will be
clearly stated on the page from which you submit your data.
2.0 Contacting Spinner Software
All communication with Spinner Software and related websites are
handled through emails and/or faxes. You can find our contact information
by clicking on the 'Contact us' button at the top of this window.
3.0 License Agreement
This license agreement is a legal agreement between you (either an individual or a single
entity) and Spinner Software for the software product described in this document.
This includes computer software and online or electronic documentation. By installing or
otherwise using the software product, you agree to be bound by the terms of this license
agreement. If you do not agree to the terms of this license agreement, do not install or use
the software product.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties,
as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed,
not sold.
3.1 GRANT OF LICENSE. This license agreement grants you the following rights:
* Spinner Software grants you the right to use as many copies of the SOFTWARE PRODUCT as you
have valid licenses.
* Spinner Software grants you a non-exclusive, royalty-free right to reproduce and distribute
an unlimited number of copies of the SOFTWARE PRODUCT, provided that you:
(a) only distribute files available for download through Spinner Software's official websites,
and/or exported user-configuration files
(b) do not use Spinner Software's name, logo, or trademarks to market the licensed product
(c) include a valid copyright notice on the licensed product sufficient to protect
Spinner Software's copyright in the software
(d) agree to indemnify, hold harmless, and defend Spinner Software from and against any claims
or lawsuits, including attorney's fees, that arise or result from the use or distribution
of the software product
(e) otherwise comply with the terms of this end user license agreement
(f) agree that Spinner Software reserves all rights not expressly granted
3.2 DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
* You may not resell, or otherwise transfer for value, the SOFTWARE PRODUCT.
* Maintenance of Copyright Notices. You must not remove or alter any copyright notices on any
copies of the SOFTWARE PRODUCT.
* Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse
engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that
such activity is expressly permitted by applicable law notwithstanding this limitation.
* Separation of Components. The SOFTWARE PRODUCT is licensed as a single product. Its component
parts may not be separated for use on more than one computer.
* Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
* Performance or Benchmark Testing. You may not disclose the results of any benchmark test of
the SOFTWARE PRODUCT to any third party without Spinner Softwares prior written approval.
* Software Transfer. You may permanently transfer all of your rights under this license
agreement only in conjunction with a permanent transfer of your valid licenses. If the
SOFTWARE PRODUCT is an upgrade, any transfer must include all prior versions of the SOFTWARE
PRODUCT.
3.3 COPYRIGHT. All title, including but not limited to copyrights, in and to the SOFTWARE
PRODUCT and any copies thereof are owned by Spinner Software. All title and intellectual
property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT
is the property of the respective content owner and may be protected by applicable copyright or
other intellectual property laws and treaties. This license agreement grants you no rights to
use such content. All rights not expressly granted are reserved by Spinner Software.
3.4 NO WARRANTIES. Spinner Software expressly disclaims any warranty for the SOFTWARE PRODUCT.
THE SOFTWARE PRODUCT AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OR
CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED
WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT
REMAINS WITH YOU.
3.5 LIMITATION OF LIABILITY. In no event shall Spinner Software be liable for any damages
whatsoever (including, without limitation, damages for loss of business profits, business
interruption, loss of business information, or any other pecuniary loss) arising out of
the use of or inability to use the SOFTWARE PRODUCT, even if Spinner Software has been
advised of the possibility of such damages. Because some jurisdictions do not allow the
exclusion or limitation of liability for consequential or incidental damages, the above
limitation may not apply to you.
MISCELLANEOUS
Spinner Software is registered in Amsterdam, The Netherlands, and is therefore subject to Dutch
and EU law. Any lawsuit must be presented in The Netherlands and tried at a local court.
